NETLAS API & DATA LICENSE AGREEMENT

This API & Data License Agreement (“Agreement”) is a legally binding contract between you (“Licensee”) and NETLAS LLC (“Netlas,” “we,” “us,” or “our”), governing your access to and use of the Netlas API (“API”) and data provided through the API or as separate datasets (“Data”).

By accessing or using the API or Data, you agree to be bound by this Agreement. If you do not agree, you must discontinue use immediately.

1. License Grant

Netlas grants you a non-exclusive, non-transferable, revocable, limited license to access and use the API for the purpose of retrieving Data as permitted by this Agreement and in compliance with the Netlas Terms & Conditions.

Netlas offers different pricing plans with varying rights to Data usage:

  • Personal & Free Plans: Data is for personal, non-commercial use only and may not be resold or redistributed.
  • Business & Enterprise Plans: Data may be used for commercial purposes, but resale is subject to additional terms.

Unless explicitly authorized in writing, you may not resell, sublicense, distribute, or publicly display the Data.

2. Usage Restrictions

You agree not to:

  • Use the API or Data in a manner that violates any applicable law or regulation.
  • Access the API in a way that exceeds rate limits or otherwise circumvents technical restrictions.
  • Store, modify, or redistribute the Data for resale unless your pricing plan explicitly allows it.
  • Share API keys or access credentials with third parties.
  • Use the API to create a competing product or service.
  • Use the Data in a way that could harm individuals, violate privacy laws, or be used for illegal activities.

Prohibited Free Account Misuse:

  • Free accounts have strict limits and may not be used to bypass restrictions.
  • Creating multiple free accounts to evade limits is strictly prohibited.
  • Violation of this policy may result in account termination and permanent banning from Netlas services.

3. Data Retention & Compliance

  • You may store Netlas Data only for the period necessary to fulfill your business or research purposes.
  • You are responsible for ensuring compliance with GDPR, CCPA, and other applicable privacy laws when handling personal or sensitive data.
  • If requested, you must delete any Data obtained from Netlas, unless you are legally required to retain it.

4. API Access & Limitations

  • Rate limits and usage quotas vary based on your pricing plan.
  • Netlas reserves the right to modify, suspend, or terminate API access at any time without prior notice.
  • API access credentials must be kept secure. You are responsible for any actions performed using your API key.

5. Intellectual Property

All rights, title, and interest in the API and Data remain with Netlas. This Agreement does not grant you ownership of the API, Data, or any related intellectual property.

6. Fees & Payment

  • Access to certain API endpoints or datasets may require a paid subscription or one-time fee.
  • Payment terms are defined in your subscription plan or purchase agreement.
  • No chargebacks are allowed. All sales are final.
  • Failure to pay required fees may result in suspension or termination of access.

7. Termination

Netlas may immediately terminate this Agreement if you:

  • Breach any provision of this Agreement.
  • Engage in unauthorized use of the API or Data.
  • Fail to comply with applicable laws.

Upon termination, you must cease using the API and permanently delete any stored Data.

8. Disclaimer & Limitation of Liability

  • The API and Data are provided “as is” without warranties of any kind.
  • Netlas is not liable for damages resulting from your use of the API or Data.
  • Netlas does not guarantee uninterrupted or error-free access to the API.

9. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of Armenia. Any disputes shall be resolved in the courts of Armenia.

10. Amendments

Netlas reserves the right to modify this Agreement at any time. Continued use of the API or Data after changes are posted constitutes acceptance of the revised Agreement.
