This API & Data License Agreement (“Agreement”) is a legally binding contract between you (“Licensee”) and NETLAS LLC (“Netlas,” “we,” “us,” or “our”), governing your access to and use of the API and Netlas Data, whether delivered through the API, the user interface, or as datasets.
By accessing or using the API or Netlas Data, you agree to be bound by this Agreement. If you do not agree, you must discontinue use immediately.
Definitions
- API means the Netlas application programming interface.
- Netlas Data means any Netlas data delivered through the API, the Netlas user interface, or in the form of datasets.
- Derived Findings means scores, summaries, alerts, remediation guidance, and other analytical findings or conclusions you create using Netlas Data.
- Commercial Client Services means services that use Netlas Data as one of their data sources or as input to your own analysis, monitoring, or other added functionality.
- Resale means offering a product, service, or feature whose primary purpose is to deliver Netlas Data or access to it to clients, in any form. Changing its format, selecting a subset, rebranding it, or adding other data sources does not, by itself, change that purpose. Commercial Client Services that meet the requirements of Section 2 are not Resale.
- White-label use means offering Resale under your own branding. Providing Commercial Client Services that meet the requirements of Section 2 under your own branding is not White-label use.
1. Scope and Availability
API access is available to every registered Netlas user. The specific features, limits, and rights available to you depend on your plan.
2. License Grant
Netlas grants you a non-exclusive, non-transferable, revocable, limited license to access and use the API and to access and use Netlas Data delivered through the API, the Netlas user interface, or in the form of datasets, as permitted by this Agreement and in compliance with the Netlas Terms & Conditions.
Netlas offers different pricing plans with varying rights to Netlas Data usage. The current plans and pricing are published on our plans page and may change from time to time. Any changes apply prospectively and may take effect on your next purchase or renewal:
Community Plans: Netlas Data is for personal, non-commercial use only and may not be resold or redistributed.
Paid Plans: Netlas Data may be used for your own business purposes, including securing your own systems, conducting investigations, and performing internal research or analysis, as well as providing Commercial Client Services to your clients.
You may create and use Derived Findings for these purposes. When providing Commercial Client Services, their primary purpose must be to provide your own analysis, monitoring, or other added functionality rather than deliver Netlas Data itself. You may display relevant portions of Netlas Data alongside your own functionality or findings in dashboards and web or PDF reports, including reports delivered to clients.
These permitted uses require neither an Enterprise plan nor a separate agreement or Netlas attribution, unless expressly agreed otherwise with Netlas. Commercial Client Services may be offered under your own branding.
Resale or White-label use of Netlas Data requires the resale/white-label option in your Certificate of Entitlement. This requirement does not apply to Commercial Client Services permitted above, including displaying relevant portions of Netlas Data as part of those services.
3. Usage Restrictions
You agree not to:
- Use the API or Netlas Data in a manner that violates any applicable law or regulation.
- Access the API in a way that exceeds rate limits or otherwise circumvents technical restrictions.
- Store, modify, or redistribute the Netlas Data for resale unless your pricing plan explicitly allows it.
- Share API keys or access credentials with third parties.
- Use the API to create a competing product or service, except as expressly authorized by your resale/white-label option. Providing Commercial Client Services permitted in Section 2 does not, by itself, constitute a competing service.
- Use the Netlas Data in a way that could harm individuals, violate privacy laws, or be used for illegal activities.
Prohibited Community Account Misuse:
- Community plans have strict limits and may not be used to bypass restrictions.
- Creating multiple Community accounts to evade limits is strictly prohibited.
- Violation of this policy may result in account termination and permanent banning from Netlas services.
4. Data Retention & Compliance
- You may store Netlas Data, including cached or normalized results, for the period necessary to fulfill your business or research purposes, subject to your plan and applicable law.
- You are responsible for ensuring compliance with GDPR, CCPA, and other applicable privacy laws when handling personal or sensitive data.
- You are responsible for ensuring your retention and use of Netlas Data complies with applicable law.
5. API Access & Limitations
- Rate limits and usage quotas vary based on your pricing plan and are enforced by technical controls. Paid plans allow one backend API account to serve multiple clients without separate Netlas accounts for those clients; usage limits apply in aggregate across all clients.
- Netlas reserves the right to modify, suspend, or terminate API access at any time without prior notice.
- API keys and other access credentials must be stored securely as secrets. You must not publish them, disclose or deliver them to clients or other third parties, or embed them in publicly accessible code or applications distributed to clients. When providing Commercial Client Services, API requests must be made through your backend systems without exposing your credentials to clients. You are responsible for any actions performed using your API key.
6. Intellectual Property
All rights, title, and interest in the API and Netlas Data remain with Netlas. This Agreement does not grant you ownership of the API, Netlas Data, or any related intellectual property, but provides a limited license to access and use the API and Netlas Data as described in this Agreement.
7. Fees & Payment
- Access to certain API endpoints or datasets may require a paid subscription or one-time fee.
- Payment terms are defined in your subscription plan or purchase agreement.
- No refunds are provided, except where required by law. All sales are final.
- Failure to pay required fees may result in suspension or termination of access.
8. Conflicts
If there is a conflict between this Agreement and the Netlas Terms & Conditions regarding API or Netlas Data usage, this Agreement controls.
9. Amendments
Netlas reserves the right to modify this Agreement at any time. We will notify you by email when changes are made. Continued use of the API or Netlas Data after changes are posted constitutes acceptance of the revised Agreement.
